Terms and Conditions of Use and License – TAXI

These Terms and Conditions of Use and License (the “Terms”) govern access to and use of TAXI (the “Application”), developed and provided by Axiome Solution (“Axiome Solution”, “we”, “us”), integrated with Microsoft 365, including Microsoft Teams and SharePoint.

By installing, accessing, or using the Application, you agree to these Terms. If you act on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

  • Customer: any legal entity that installs, subscribes to, or authorizes the use of the Application.
  • User: any individual authorized by the Customer to use the Application.
  • Services: the features and functionalities made available through the Application.
  • Customer Data: data, content, or information processed through Microsoft 365 in connection with the Application (including SharePoint and Microsoft Teams data) under the Customer’s control.

2. Purpose

These Terms define the parties’ rights and obligations regarding the use of the Application within a Microsoft 365 environment.

3. License Grant

Subject to compliance with these Terms, Axiome Solution grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Application for internal business purposes only. No intellectual property rights are transferred.

4. Microsoft 365 environment and Customer responsibilities

The Application is designed to operate within a valid Microsoft 365 tenant. The Customer is responsible for:

  • administration of its Microsoft 365 tenant;
  • security configuration (conditional access, MFA, governance, retention policies, etc.);
  • managing User permissions and roles;
  • ensuring Users’ compliant use of the Application.

TAXI does not modify or extend existing Microsoft 365 permissions. Access to resources depends on rights already granted by the Customer.

5. Security

Axiome Solution implements reasonable technical and organizational measures intended to protect the Application and reduce risks of unauthorized access, alteration, or unavailability. The Customer remains responsible for the overall security of its Microsoft 365 environment and its data (including identity and account management).

6. Data, privacy and data protection

Customer Data remains under the Customer’s control within its Microsoft 365 environment. Axiome Solution:

  • does not claim ownership of Customer Data;
  • processes Customer Data only as necessary to provide the Services;
  • may act as a processor under GDPR where applicable.

A separate Data Processing Agreement (DPA) may be provided or executed. The Privacy Policy describes categories of data and purposes: Privacy Policy.

7. Availability, maintenance and support

Axiome Solution aims to provide high availability. However:

  • availability may partially depend on Microsoft 365 services;
  • temporary interruptions may occur (maintenance, updates, incidents);
  • no service level (SLA) is guaranteed unless specifically agreed in writing.

8. Updates and changes

Axiome Solution may update the Application (patches, enhancements, new features, technical changes). Some updates may change UI, flows, or technical prerequisites. Features may be modified, replaced, or discontinued for security, compliance, performance, or end-of-life reasons.

9. Use restrictions

Unless expressly permitted in writing by Axiome Solution, you may not:

  • copy, modify, adapt, translate, or create derivative works;
  • reverse engineer, decompile, disassemble, or attempt to access source code;
  • bypass security or usage limitation mechanisms;
  • resell, redistribute, make available, or commercially exploit the Application;
  • use the Application in violation of applicable laws;
  • attempt to access unauthorized data or resources.

10. Intellectual property

The Application, documentation, trademarks, logos, UI, components, and related materials remain the exclusive property of Axiome Solution or its licensors. All rights not expressly granted are reserved.

11. Warranty disclaimer

The Application is provided “ as is” and “ as available”. To the maximum extent permitted by law, Axiome Solution disclaims all warranties, express or implied, including fitness for a particular purpose, error-free operation, uninterrupted availability, and compatibility with undocumented configurations.

12. Limitation of liability

To the maximum extent permitted by law:

  • Axiome Solution’s total liability under these Terms is limited to the total fees actually paid by the Customer for the Application during the twelve (12) months preceding the event giving rise to the claim;
  • Axiome Solution is not liable for indirect, consequential, special, incidental damages, loss of profits, loss of business, loss of data, or reputational harm;
  • Axiome Solution is not liable for issues caused by Microsoft 365, the Customer environment, third parties, or non-compliant use.

13. Suspension and termination

In case of breach, Axiome Solution may suspend access and terminate usage rights for material or persistent breaches. Upon termination, all usage rights cease immediately. Customer Data availability is governed by the Customer’s Microsoft 365 mechanisms. Unless legally required, no specific data export/restitution is provided beyond Microsoft 365 capabilities.

14. Changes to these Terms

Axiome Solution may update these Terms to reflect Service changes, legal requirements, or security needs. The version published on the website prevails. Continued use after publication constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by the laws of France. Any dispute shall fall under the exclusive jurisdiction of the Commercial Court of Bayonne (France).
